1. Definitions
1.1 La Cucina del Sole: La Cucina del Sole, registered with the Chamber of Commerce under number 34181085, operating under its trade name: La Cucina del Sole.
1.2 The Customer: the natural person or legal entity entering into an agreement with La Cucina del Sole regarding products to be supplied and/or services to be provided by La Cucina del Sole. The term Customer also includes the client, organizer, initiator, contact person, authorized representative of a company or organization, as well as all participants in activities organized by La Cucina del Sole.
1.3 The Agreement: the agreement concluded with La Cucina del Sole relating to its products or services.
1.4 Activity: the services offered by La Cucina del Sole.
2. General
2.1 These Terms and Conditions apply to all agreements (offers, negotiations and contracts) relating to products supplied or services provided by La Cucina del Sole.
2.2 La Cucina del Sole shall not be bound by actions and/or verbal agreements made by persons who are not authorized to represent it, unless such agreements have been confirmed in writing by duly authorized persons.
3. Formation and Content of the Agreement
3.1 If the Customer requests La Cucina del Sole to issue a quotation for a specific activity or service, such request shall be regarded as an invitation to make an offer.
3.2 Any oral or written offer made by La Cucina del Sole is non-binding. An offer remains non-binding even if it contains a fixed acceptance period, unless La Cucina del Sole has expressly stated that the offer is irrevocable. If no such period is stated in a written offer, the offer shall automatically expire two weeks after the date of the offer without further notice from La Cucina del Sole. This period may be extended upon the Customer’s request.
3.3 An Agreement is concluded when acceptance reaches La Cucina del Sole within the two-week period.
3.4 If the Customer refers to other terms and conditions when accepting an offer, such reference shall have no effect and these Terms and Conditions shall apply exclusively. If the Customer expressly rejects the applicability of these Terms and Conditions, this shall be considered a rejection of the offer and simultaneously a counteroffer.
3.5 Acceptances, including purchase confirmations from the Customer, containing material additions, limitations or modifications shall be regarded as a new offer and a rejection of the original offer.
3.6 Material additions, limitations or modifications include, among other things, provisions relating to price, payment, quality, presentation and quantity of products, place and time of delivery, liability of either party, and dispute resolution.
4. Prices
4.1 La Cucina del Sole reserves the right to pass on price changes occurring between confirmation of the booking and execution of the Agreement. The Customer shall be informed of such changes as soon as possible.
4.2 La Cucina del Sole charges a fixed fee per participant for cooking workshops. Included in the price are: 1 glass of Prosecco, 3 glasses of wine, Italian beer, all non-alcoholic beverages, coffee and tea. Additional drinks will be charged separately based on actual consumption.
4.3 If the Customer wishes to have distilled spirits available, this must be requested explicitly in advance and will be charged separately based on actual consumption.
4.4 Prices include VAT for private individuals and exclude VAT for VAT-liable companies, institutions and organizations.
5. Payment
5.1 Payment must be made within 5 days of the invoice date. If the Customer fails to fulfill payment obligations in whole or in part, La Cucina del Sole shall be entitled to suspend the delivery of products and/or services.
5.2 If payment is not received within the period specified in Article 5.1, the Customer shall automatically be in default without further notice. From that moment, statutory interest shall be due on the outstanding amount.
5.3 La Cucina del Sole expressly reserves the right to require payment before the execution of the Agreement.
5.4 All payments shall be applied exclusively to the oldest outstanding invoices.
5.5 All payments must be made in Euros unless otherwise agreed in writing. If payment in another currency is agreed, conversion shall be based on the exchange rate applicable on the date of payment. Any conversion costs and exchange-rate losses shall be borne by the Customer.
5.6 If the Customer fails to meet payment obligations, La Cucina del Sole may engage a third party to collect the outstanding debt. Extrajudicial collection costs shall be borne by the Customer and amount to 15% of the outstanding balance with a minimum of €91.00, plus VAT.
6. Changes to the Assignment
6.1 Changes to the original Agreement requested by or on behalf of the Customer that result in additional costs not included in the booking confirmation will be charged through the final invoice referred to in Article 5.1.
6.2 Such changes must be submitted in writing at least seven days before the event and must be accepted by La Cucina del Sole.
6.3 Changes communicated too late or not accepted by La Cucina del Sole cannot be implemented for the relevant event.
7. Liability
7.1 La Cucina del Sole is insured against statutory liability. Any liability shall be limited to the amount paid out under the applicable insurance policy.
7.2 La Cucina del Sole shall not be liable for damage caused by products supplied or services rendered, unless such damage results from intentional misconduct or gross negligence on the part of La Cucina del Sole.
7.3 La Cucina del Sole shall not be liable for damage to clothing or other personal property belonging to the Customer or third parties, except in cases of intentional misconduct or gross negligence. La Cucina del Sole shall not be liable for consequential damages.
7.4 La Cucina del Sole shall not be liable for personal injury suffered by the Customer or third parties, except in cases of intentional misconduct or gross negligence. The Customer indemnifies La Cucina del Sole against all third-party claims arising from services provided or products supplied, except where caused by intentional misconduct or gross negligence on the part of La Cucina del Sole.
7.5 La Cucina del Sole shall not be liable for costs, damages or interest if it is unable to fulfill its obligations due to force majeure. Force majeure includes, but is not limited to: failure or delay by suppliers, illness of staff or subcontractors, strikes, business interruptions beyond its control, fire, leakage, theft, shortages of raw materials, transportation difficulties, government measures, exceptionally high water levels, war, threat of war, flooding, storms, ice, snow and similar weather conditions.
8. Cancellation of Group Cooking Workshops, Served Dinners, Venue Rental or Other Culinary Arrangements
8.1 The number of participants specified by the Customer is binding. A reduction of up to 20% of the stated number of participants is permitted without compensation, provided notice is given at least seven days before the event date. If additional participants attend beyond the agreed number, La Cucina del Sole may refuse service or accept them under standard conditions.
If the Customer wishes to cancel all or part of the Agreement, including reducing the number of participants, the following cancellation fees apply:
- More than 3 months before the event: no cancellation fee.
- More than 2 months before the event: 25% of the reservation value.
- More than 1 month before the event: 50% of the reservation value.
- More than 7 days before the event: 75% of the reservation value.
- 7 days or less before the event: 100% of the reservation value.
9. Cancellation of Open Cooking Workshops or Cooking Courses
9.1 If the Customer wishes to cancel the Agreement in whole or in part, including reducing the number of participants or changing the date, the following cancellation fees apply:
- More than 3 months before the event: no cancellation fee.
- More than 2 months before the event: 25% of the reservation value.
- More than 1 month before the event: 50% of the reservation value.
- More than 7 days before the event: 75% of the reservation value.
- 7 days or less before the event: 100% of the reservation value.
9.2 The Customer may, at no additional cost, send another person in their place, provided La Cucina del Sole is informed in advance.
10. Gift Vouchers
10.1 Gift vouchers are valid for one year from the date of issue unless otherwise stated on the voucher.
10.2 Gift vouchers are not personal and may be freely transferred.
10.3 Gift vouchers and any remaining balance are not redeemable for cash.
10.4 If the total order amount exceeds the value of the gift voucher(s), the difference must be paid using one of the available payment methods.
11. Termination of the Agreement
11.1 If La Cucina del Sole has not received payment at least seven days before the event, the Agreement shall automatically terminate.
11.2 La Cucina del Sole may terminate an Agreement without compensation if it conflicts with laws, regulations or may harm its interests or reputation.
11.3 If the safety of guests, staff or others cannot be guaranteed, La Cucina del Sole may deviate from or terminate the Agreement without liability.
12. Copyright
12.1 Copyright and any other intellectual property rights relating to concepts or events developed by La Cucina del Sole shall remain the property of La Cucina del Sole.
13. Governing Law and Dispute Resolution
13.1 All quotations and agreements between La Cucina del Sole and the Customer shall be governed by Dutch law.
13.2 Any disputes shall be submitted exclusively to the competent court in Amsterdam.
